1. Overview

These Terms and Conditions (the "Terms") govern access to and use of LeasingAI's platform, software, dashboards, integrations, analytics, reports, and related services (collectively, the "Services") provided by Leasing AI Inc. ("LeasingAI", "we", "us", or "our").

If you have entered into a separate written order form, subscription agreement, or other signed agreement with LeasingAI (a "Signed Agreement"), the Signed Agreement will control to the extent of any conflict with these Terms.

By accessing or using the Services, you agree to these Terms on behalf of yourself and the organization you represent.

2. Services

LeasingAI provides AI-powered software and services that help property owners, operators, and managers improve how their properties perform across modern digital channels.

The specific scope of the Services available to you is set forth in your subscription, order form, or Signed Agreement. LeasingAI may update, enhance, or modify the Services from time to time, provided that such changes do not materially reduce the core functionality of the Services purchased by you during the applicable subscription term.

LeasingAI does not guarantee any specific rankings, visibility, traffic, leads, appointments, bookings, conversions, or other business outcomes.

3. Accounts and Authorized Users

You are responsible for all access to and use of the Services under your account, including by your employees, contractors, agents, and other authorized users ("Authorized Users").

You must (a) keep account credentials secure, (b) ensure only Authorized Users access the Services, and (c) promptly notify LeasingAI of any unauthorized access or security incident involving your account. You are responsible for your Authorized Users' compliance with these Terms.

4. Customer Responsibilities

You are responsible for:

providing accurate, complete, current, and lawful data, content, listings, and property information;
ensuring that your use of the Services complies with all applicable laws and regulations, including fair housing, advertising, privacy, consumer protection, telemarketing, and anti-spam laws;
reviewing customer-facing or public-facing materials generated through the Services before publication, or, where you have enabled automated workflows, accepting responsibility for the configuration and output of those workflows; and
obtaining and maintaining all necessary rights, consents, and permissions for LeasingAI to access and process Customer Data and connected systems as required to provide the Services.

You retain sole responsibility for your own business decisions, including leasing, pricing, operational, advertising, disclosure, and fair-housing decisions. LeasingAI does not make those decisions on your behalf.

5. AI Features and Outputs

Certain features of the Services use artificial intelligence and related technologies to generate recommendations, content, suggestions, or other materials ("Outputs").

Outputs are provided for your review and informational use. LeasingAI does not warrant, guarantee, or take responsibility for the accuracy, completeness, suitability, or legality of any Output. You are responsible for reviewing and determining whether and how to use Outputs in your business.

6. Additional Features

Some features of the Services involve interactions with end users, communications, or capture and processing of information from third parties on your behalf. If your subscription includes any such features, additional responsibilities apply to you, including responsibility for obtaining all necessary notices, consents, and approvals required by applicable law. Specific terms governing those features will be set forth in your Signed Agreement or order form.

7. Third-Party Services and Integrations

The Services may interoperate with or rely on third-party platforms, websites, systems, providers, AI systems, and data sources ("Third-Party Services").

Your use of Third-Party Services is governed by your agreements with those providers. LeasingAI is not responsible for Third-Party Services, including their performance, availability, legality, security, content, or data practices. LeasingAI may be limited in its ability to provide certain Services if required access or integrations are not available.

8. Data Rights and Use

As between the parties:

you retain all rights, title, and interest in and to the data, content, listings, materials, and other information you or your Authorized Users provide to LeasingAI or process through the Services ("Customer Data"); and
LeasingAI retains all rights, title, and interest in and to the Services, software, technology, documentation, models, methodologies, analytics, reports, and all related intellectual property.

You grant LeasingAI a limited, non-exclusive right to use, host, copy, process, transmit, display, and otherwise use Customer Data solely as necessary to (a) provide, support, secure, maintain, and improve the Services, (b) perform requested integrations and workflows, (c) generate reports, analytics, and operational information, and (d) comply with law and enforce these Terms.

Personal data. To the extent Customer Data includes personal data of prospects, residents, or other end users that LeasingAI processes on your behalf, you act as the data controller and LeasingAI acts as the data processor. Such processing will be governed by LeasingAI's Data Processing Addendum once made available or otherwise agreed in writing. Until then, LeasingAI will handle such personal data only as necessary to provide the Services and in accordance with applicable law.

Aggregated data. LeasingAI may use aggregated, de-identified, and anonymized data derived from Customer Data for analytics, benchmarking, reporting, security, product improvement, and business operations, provided such data does not identify you, any property, or any individual.

No AI training on identifiable data. LeasingAI will not use Customer Data or personal data to train general-purpose or foundation AI models.

Feedback. If you provide LeasingAI with feedback, suggestions, or ideas regarding the Services, LeasingAI may use such feedback without restriction or obligation.

9. Confidentiality and Publicity

"Confidential Information" means non-public information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential given its nature and the circumstances of disclosure. LeasingAI Confidential Information includes the Services, software, APIs, documentation, non-public features, beta features, screenshots, screen recordings, videos, reports, analyses, recommendations, pricing, security materials, roadmaps, product plans, technical information, performance information, and evaluation results.

Each party will (a) use the other party's Confidential Information only as necessary to exercise its rights and perform its obligations under these Terms, (b) protect the other party's Confidential Information using reasonable care, and (c) not disclose the other party's Confidential Information to any third party except to its employees, contractors, affiliates, legal counsel, accountants, auditors, or professional advisers who have a need to know and are bound by confidentiality obligations at least as protective as these Terms.

Without LeasingAI's prior written consent, you will not:

disclose LeasingAI Confidential Information to any competitor of LeasingAI, to any other party that provides or develops solutions in the proptech, multifamily technology, AI search, AI visibility, AI optimization, AI reputation, AI listings, AI marketing, or related solutions spaces, or to any consultant, adviser, agent, evaluator, or other third party that is acting on behalf of, engaged by, or otherwise assisting any such party;
share LeasingAI screenshots, screen recordings, videos, reports, outputs, pricing, security materials, evaluations, or analyses outside your organization except as permitted above;
publish or disclose benchmarks, comparisons, reviews, performance information, or evaluation results relating to LeasingAI; or
use LeasingAI Confidential Information to build, train, evaluate, support, or improve a competing or similar product or service.

You may independently evaluate other products, but you may not share LeasingAI Confidential Information with those providers or with any third party engaged by or assisting them.

These confidentiality obligations continue for three (3) years after you stop using the Services, and indefinitely with respect to information that constitutes a trade secret under applicable law.

Neither party may use the other party's name, logo, or trademarks in public materials without prior written approval, except as expressly agreed in writing or in a Signed Agreement.

10. Restrictions

You will not, and will not permit any third party to:

sublicense, resell, distribute, or provide access to the Services to unaffiliated third parties except as expressly permitted by LeasingAI;
reverse engineer, decompile, disassemble, copy, modify, create derivative works of, or attempt to access the source code or non-public APIs of the Services, except to the extent prohibited by applicable law;
use the Services to develop, train, test, or improve a competing product or service;
conduct security or vulnerability testing of the Services without LeasingAI's prior written approval;
interfere with or disrupt the integrity, security, or performance of the Services;
upload or transmit malicious code or harmful content; or
use the Services in violation of applicable law or third-party rights.

11. Free and Trial Features

LeasingAI may make certain features, scans, reports, or evaluations available to you on a free, trial, evaluation, or beta basis (collectively, "Free Features"), including the free AI Visibility Scan available on the LeasingAI website.

Free Features are provided "AS IS" and "AS AVAILABLE," without any warranty, indemnity, support, or service-level commitment. LeasingAI may modify, suspend, or terminate any Free Features at any time, for any reason, without liability. Notwithstanding any other provision of these Terms, LeasingAI's total aggregate liability arising out of or relating to Free Features will not exceed fifty U.S. dollars (US$50). For the avoidance of doubt, this Section 11 applies only to Free Features and does not limit any rights or obligations under a Signed Agreement, paid pilot, or paid beta arrangement.

12. Fees and Payment

Fees, billing terms, subscription scope, and any usage limits are set forth in your applicable order form, subscription agreement, or other purchasing document. Unless otherwise expressly stated: (a) fees are billed in advance, (b) fees are non-refundable, (c) late payments may result in suspension of access to the Services, and (d) you are responsible for applicable taxes other than taxes based on LeasingAI's net income.

13. Suspension and Termination

LeasingAI may suspend access to all or part of the Services if (a) you fail to pay amounts due, (b) you or your Authorized Users breach these Terms, (c) LeasingAI reasonably believes your use of the Services poses a security risk, violates applicable law, or may expose LeasingAI or others to liability or harm, or (d) a third-party provider or integration required to support the Services is suspended, terminated, or unavailable.

LeasingAI will use commercially reasonable efforts to provide notice and an opportunity to cure where practicable, but may suspend immediately where necessary for security, legal, or urgent operational reasons. Termination of the Services does not relieve you of payment obligations accrued before termination.

14. Disclaimer

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEASINGAI DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, OR THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

WITHOUT LIMITING THE FOREGOING, LEASINGAI DOES NOT GUARANTEE ANY RANKINGS, VISIBILITY, TRAFFIC, LEADS, BOOKINGS, OR OTHER BUSINESS RESULTS.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

LEASINGAI WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS, LOSS OF GOODWILL, OR LOSS OF DATA.

LEASINGAI'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS IS LIMITED AS SET FORTH IN YOUR SIGNED AGREEMENT, OR, IN THE ABSENCE OF A SIGNED AGREEMENT, TO THE AMOUNTS PAID BY YOU TO LEASINGAI FOR THE SERVICES DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

These limitations do not apply to your payment obligations or either party's liability for gross negligence, willful misconduct, or unauthorized use or disclosure of the other party's Confidential Information.

16. Indemnification

You will defend, indemnify, and hold harmless LeasingAI and its officers, directors, employees, agents, and affiliates from and against third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your Customer Data, (b) your use of the Services or Outputs, (c) your breach of these Terms, or (d) your violation of applicable law or third-party rights.

17. Governing Law; Updates; Contact

Governing Law. These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

Updates. LeasingAI may update these Terms from time to time. Material updates will be posted on this page with an updated effective date, and will become effective thirty (30) days after posting. If you are using the Services under a Signed Agreement, that Signed Agreement will control over any conflicting changes to these Terms unless the parties agree otherwise in writing.

Survival. Sections 8 (Data Rights and Use), 9 (Confidentiality and Publicity), 10 (Restrictions), 12 (Fees and Payment) for any unpaid amounts, 14 (Disclaimer), 15 (Limitation of Liability), 16 (Indemnification), and this Section 17 survive termination of these Terms.
